These Terms and Conditions (“Terms”) govern your access to and use of the TrueMarket website, web application, property-search tools, subscription services, alerts, reports, content, and related features collectively referred to as the “Platform.”

The Platform is owned and operated by Ippraisall, referred to in these Terms as “TrueMarket,” “we,” “us,” or “our.”

By creating an account, purchasing a membership, accessing the Platform, or selecting a checkbox indicating your acceptance, you agree to these Terms and our Privacy Policy. If you do not agree, you may not access or use the Platform.

1. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement to use the Platform.

By creating an account, you represent that the information you provide is accurate, current, and complete.

2. Purpose of the Platform

TrueMarket provides property-search and research tools designed to help real estate investors identify and review potential property opportunities.

Platform features may include:

• Property searches and filtering
• Below-market-value search tools
• Estimated property values
• Foreclosure-related searches
• Saved searches
• Favorites and watchlists
• Property alerts
• Listing and property information
• Investment research and comparison tools

TrueMarket is a property-information and research platform. TrueMarket is not acting as your real estate broker, agent, appraiser, lender, attorney, accountant, contractor, financial adviser, or investment adviser.

3. Geographic Availability

TrueMarket is currently focused on properties located within Clark County, Nevada.

We may expand, reduce, temporarily suspend, or otherwise modify the geographic areas covered by the Platform at any time.

The availability of a property, listing, feature, or search area is not guaranteed.

4. Property and MLS Data

Property information displayed through TrueMarket may be obtained from multiple listing services, public records, listing providers, third-party data providers, brokers, agents, and other sources.

Although we work to provide current and useful information, property data may contain errors, delays, omissions, duplicate records, outdated information, or inaccuracies.

Listing information is considered reliable but is not guaranteed.

Property status, availability, price, ownership, measurements, zoning, taxes, foreclosure status, condition, features, and other details must be independently verified before you make a purchasing or investment decision.

TrueMarket does not guarantee that every available listing or property will appear on the Platform.

MLS information and listing content may be subject to additional rules, ownership rights, display requirements, and restrictions established by the applicable MLS, broker, listing provider, or data owner.

5. Estimated Market Values and Below-Market Calculations

Any estimated market value, discount percentage, equity estimate, comparison, property score, or below-market-value calculation displayed through the Platform is an estimate provided for general research purposes only.

The percentage by which a property appears to be priced below market value may be calculated using available listing data, automated valuation information, comparable properties, third-party information, or other data points.

These calculations are not formal appraisals and do not guarantee:

• The property’s actual market value
• The final purchase price
• The property’s condition
• Available equity
• Profitability
• Resale value
• Rental income
• Financing approval
• Investment performance

You are responsible for conducting your own due diligence and consulting qualified professionals before purchasing, financing, renovating, renting, or selling a property.

6. Foreclosure Information

Foreclosure, pre-foreclosure, auction, distressed-property, or lender-related information may change quickly and may not always reflect the property’s current legal or financial status.

You must independently verify all foreclosure-related information with the appropriate lender, trustee, court, government agency, property owner, listing agent, title company, or legal professional.

TrueMarket does not guarantee that a property identified through a foreclosure search remains available or is legally eligible for purchase.

7. No Investment or Professional Advice

Information provided through the Platform is for general informational and research purposes only.

Nothing on the Platform should be interpreted as:

• A recommendation to purchase or sell a property
• A guarantee that a property is a good investment
• Financial, investment, legal, tax, or accounting advice
• A formal property appraisal
• A property inspection
• A title report
• A financing commitment
• A guarantee of income, savings, appreciation, or profit

Real estate investing involves financial and legal risks. You are solely responsible for evaluating those risks.

8. Early-Access Membership

TrueMarket may offer an Early-Access or Early-Bird membership while the Platform is still being developed, tested, updated, and expanded.

By purchasing an early-access membership, you understand that:

• Some features may still be under development.
• Features may contain errors or technical issues.
• Features may be added, modified, replaced, delayed, or removed.
• Platform performance and availability may vary.
• Certain tools may be released in stages.
• Your feedback may be used to improve the Platform.

Early-access members may receive introductory or founding-member pricing. Unless otherwise stated at the time of purchase, introductory pricing remains available only while the membership remains continuously active and in good standing.

If an early-access membership is canceled, expires, or is terminated for nonpayment, the introductory price may no longer be available if the member later rejoins.

9. Subscription Billing and Automatic Renewal

TrueMarket memberships may be offered on a monthly, annual, or other recurring subscription basis.

By purchasing a subscription, you authorize TrueMarket and its payment processor to charge your selected payment method for:

• The initial subscription payment
• Applicable taxes
• Recurring renewal payments
• Any other charges you expressly approve

Unless otherwise stated during checkout, your membership automatically renews at the end of each billing period until canceled.

Your renewal price will be the price presented during enrollment, including any qualifying locked-in early-access price, unless you are notified of a permitted pricing change before the next renewal.

You are responsible for maintaining a valid payment method.

10. Payment Processing

Payments may be processed through Stripe or another third-party payment provider.

TrueMarket does not directly store your complete payment-card information. Your use of third-party payment services may also be governed by the payment provider’s separate terms and privacy policies.

If a payment is declined, reversed, disputed, or unsuccessful, we may suspend or terminate your access until the outstanding amount is paid.

11. Cancellation

You may cancel your membership through the account or billing section of the Platform or by contacting us at [email protected].

Unless otherwise stated:

• Cancellation stops future renewal charges.
• You will retain access through the end of your current paid billing period.
• Cancellation does not automatically create a refund for charges already paid.
• Your account may lose early-access or founding-member pricing after cancellation.
• You should cancel before your next renewal date to avoid the next recurring charge.

Deleting the application, abandoning your account, or failing to use the Platform does not automatically cancel your subscription.

12. Refund Policy

Except where required by applicable law or expressly stated otherwise, subscription payments are nonrefundable.

TrueMarket does not ordinarily provide refunds or prorated credits for:

• Partially used billing periods
• Unused membership time
• Failure to cancel before a renewal date
• A change in personal circumstances
• A property no longer being available
• Investment results
• Temporary interruptions
• Changes to individual Platform features

If you believe you were charged incorrectly, contact us at [Insert Support Email] within 14 days of the charge. We will review the issue, but submission of a request does not guarantee a refund.

Nothing in this section limits any refund rights that cannot legally be waived.

13. Pricing Changes

TrueMarket may change its membership prices, subscription options, or included features.

Any pricing change affecting an existing member will be communicated before it applies to a future billing period, unless the change results from taxes, government charges, payment-processing requirements, or correction of an obvious pricing error.

Early-access pricing may remain locked while an eligible membership stays continuously active. Promotional or introductory pricing may not be transferred to another person or account.

14. Account Security

You are responsible for maintaining the confidentiality of your username, password, login credentials, and account information.

You agree to:

• Use accurate account information
• Keep your login credentials secure
• Notify TrueMarket of suspected unauthorized access
• Accept responsibility for activity conducted through your account
• Avoid sharing access with unauthorized users

Each membership is intended for the individual or authorized organization that purchased it. You may not sell, rent, transfer, sublicense, or publicly share your account.

15. Acceptable Use

You may use the Platform only for lawful personal or internal business purposes.

You may not:

• Scrape, crawl, harvest, copy, or download property data in bulk
• Use bots, automated scripts, or data-extraction tools without permission
• Resell, redistribute, publish, license, or commercially exploit Platform data
• Copy or reproduce MLS listing content except as expressly permitted
• Attempt to bypass account, payment, security, or access restrictions
• Reverse engineer or interfere with the Platform
• Upload viruses, malicious code, or harmful material

Use the Platform to violate privacy, intellectual-property, housing, lending, advertising, or other laws

Misrepresent your identity or affiliation

Use information to harass property owners, tenants, brokers, agents, or other individuals

Use the Platform for fraudulent or deceptive activity

Share content in a manner prohibited by an MLS or data provider

We may limit, suspend, or terminate access if we reasonably believe these Terms have been violated.

16. Saved Searches, Alerts, and Notifications

TrueMarket may allow you to create saved searches and receive property alerts through email, text message, push notification, or your account dashboard.

Alerts are provided as a convenience. We do not guarantee that:

• Every matching property will generate an alert
• Alerts will be delivered immediately
• Alerts will be received before other buyers view a property
• A property will remain active or available
• Alert information will be error-free

Email providers, mobile carriers, technical interruptions, third-party systems, and changes in listing data may affect delivery.

You may adjust certain notification settings within your account or unsubscribe using the instructions included in the communication.

17. Intellectual Property

The Platform, including its design, software, layout, branding, logos, text, calculations, filters, graphics, reports, and original content, is owned by or licensed to TrueMarket and is protected by applicable intellectual-property laws.

Property listings, photographs, remarks, MLS data, and third-party content may be owned by the applicable broker, agent, photographer, MLS, provider, or other rights holder.

Your membership gives you a limited, personal, revocable, nonexclusive, and nontransferable right to access the Platform in accordance with these Terms. It does not transfer ownership of any Platform content or property data to you.

18. Feedback

You may provide comments, ideas, suggestions, testimonials, or other feedback regarding the Platform.

By submitting feedback, you grant TrueMarket permission to use, modify, and incorporate that feedback into its products, services, marketing, and business operations without compensation or obligation to you.

We will not publicly identify you in connection with a testimonial without permission where legally required.

19. Third-Party Services and Links

The Platform may connect to or contain information from third-party websites, maps, payment processors, MLS providers, public records, valuation services, brokers, lenders, advertisers, or other services.

TrueMarket does not control and is not responsible for third-party content, availability, privacy practices, security, products, services, or accuracy.

Accessing a third-party service is at your own risk and may be governed by separate terms.

20. Platform Availability and Changes

We do not guarantee that the Platform will operate continuously, securely, or without errors.

TrueMarket may:

• Perform maintenance
• Correct errors
• Update software
• Change Platform functionality
• Restrict certain features
• Temporarily suspend access
• Discontinue features or services

We will make reasonable efforts to avoid unnecessary interruptions, but no specific uptime or service level is guaranteed unless provided in a separate written agreement.

21. Account Suspension and Termination

We may suspend, restrict, or terminate your account if:

• You violate these Terms
• Your payment fails
• You misuse property or MLS data
• Your activity threatens Platform security
• Your account is used fraudulently

Continued access could violate a law, contract, MLS rule, or third-party requirement

You may stop using the Platform at any time. Subscription cancellation remains subject to the billing and cancellation provisions in these Terms.

Sections intended by their nature to survive termination will remain effective, including intellectual-property, payment, disclaimer, liability, indemnification, and dispute provisions.

22. Disclaimer of Warranties

To the fullest extent permitted by law, the Platform is provided on an “as is” and “as available” basis.

TrueMarket disclaims all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, title, accuracy, availability, noninfringement, and investment performance.

TrueMarket does not warrant that:

• Property information will always be accurate or complete
• A property is actually below market value
• You will locate or purchase a suitable property
• You will receive financing
• You will earn a profit
• A property will appreciate

The Platform will be uninterrupted or error-free

Every search result or alert will be delivered

Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, exclusions apply only to the extent legally allowed.

23. Limitation of Liability

To the fullest extent permitted by law, TrueMarket and its owners, employees, contractors, affiliates, licensors, data providers, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

This includes damages arising from:

• Lost profits or investment opportunities
• Property purchases or sales
• Financing decisions
• Renovation costs
• Inaccurate property information
• Missed alerts or opportunities
• Data loss
• Platform interruptions
• Unauthorized account access
• Third-party services
• Reliance on estimated values or calculations

To the fullest extent permitted by law, TrueMarket’s total liability arising from your use of the Platform will not exceed the amount you paid to TrueMarket during the six months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded.

24. Indemnification

You agree to defend, indemnify, and hold harmless TrueMarket and its owners, employees, contractors, affiliates, licensors, and service providers from claims, damages, losses, liabilities, and expenses arising from:

• Your use or misuse of the Platform
• Your violation of these Terms
• Your violation of applicable law
• Your infringement of another person’s rights
• Your purchase, sale, financing, renovation, rental, or management of a property

Content or information you submit through the Platform

25. Privacy

Our collection and use of personal information are governed by our Privacy Policy.

By using the Platform, you acknowledge that your information may be processed as described in that policy.

26. Electronic Communications

You consent to receive agreements, disclosures, billing notices, account notices, and other communications electronically.

Electronic communications may be sent through email, your account dashboard, or other contact information you provide.

You are responsible for keeping your contact information current.

27. Changes to These Terms

We may update these Terms as the Platform, features, laws, or business practices change.

When material changes are made, we may provide notice through the Platform, email, or another reasonable method.

The updated Terms will become effective on the date shown at the top of the page. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

28. Governing Law and Disputes

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law rules.

Before filing a formal claim, you agree to contact TrueMarket and attempt to resolve the dispute informally.

Any legal action that is not subject to a separate arbitration agreement must be brought in the state or federal courts located in Clark County, Nevada, unless applicable law requires otherwise.

29. Severability

If any provision of these Terms is found unenforceable, that provision will be modified or limited to the minimum extent necessary, and the remaining provisions will remain in effect.

30. No Waiver

A failure by TrueMarket to enforce any provision of these Terms does not waive the right to enforce that provision later.

31. Assignment

You may not transfer or assign your rights under these Terms without written permission from TrueMarket.

TrueMarket may transfer or assign its rights and obligations as part of a merger, acquisition, restructuring, sale of assets, or similar business transaction.

32. Entire Agreement

These Terms, the Privacy Policy, the Refund Policy, and any additional terms presented during checkout constitute the entire agreement between you and TrueMarket regarding use of the Platform.
